Platform Terms and Important Disclosures

Last updated 29 September 2026

These terms

These terms (“Platform Terms”) apply to your company’s use of the Amno Solutions website at amnosolutions.com and the Amno Solutions platform (together, the “Platform”). By submitting the onboarding form or using the Platform, you (“you”, “your”, the “Client”) agree to these Platform Terms. The person accepting them confirms they have authority to do so for the Client.

1. Who we are and what we do

1.1. Amno Solutions is a trading name of AMNO Group Ltd (“Amno”, “we”, “us”, “our”), a company registered in England and Wales under company number 16870880, registered office: 15 The Broadway, Woodford Green, Essex, IG8 0HL, United Kingdom. Website: amnosolutions.com. Email: hello@amnosolutions.com.
1.2. Amno is a technology provider and introducer. We provide the Platform: payroll software through which UK companies apply for a GBP business bank account provided by Griffin Bank Ltd, upload and confirm payroll runs and send payments from that account. We introduce our clients to Griffin and give them access to their Griffin account through the Platform under our agreement with Griffin.
1.3. Amno is not Griffin’s agent. Amno has no authority to negotiate or vary the Banking Services or Griffin’s Terms, to make any decision on Griffin’s behalf about opening, operating, restricting or closing your account, or to enter into any contract on Griffin’s behalf or bind Griffin in any way. Nothing in your dealings with Amno creates any agency, partnership or joint venture between Amno and Griffin.
1.4. Amno is not a bank and does not itself accept deposits or provide payment, e-money, foreign exchange or money remittance services. Amno does not hold your money: it is held by Griffin in an account in your company’s name, ring-fenced from Amno’s own money. The only money that moves from your account to Amno is the fees you authorise under clause 3.
1.5. Your Amno Solutions accounts are provided by Griffin Bank Ltd (“Griffin”). Griffin is a company registered in England and Wales (No. 10842931). Griffin is authorised by the Prudential Regulation Authority and regulated by the Financial Conduct Authority and Prudential Regulation Authority. Griffin’s firm reference number is 970920. In these Platform Terms, the account and payment services Griffin provides are the “Banking Services”.
1.6. Griffin’s Terms. Your account is opened directly with Griffin under Griffin’s Nested Customer General Terms and Conditions, together with the Griffin Service Terms for your account: the Nested Customer Tripartite Embedded Bank Accounts terms, the Nested Customer Support Service Schedule and the Direct Credit Schedule for Nested Customers (together, “Griffin’s Terms”). You accept Griffin’s Terms separately during onboarding, before your account is opened. You contract with Griffin for the Banking Services and with Amno for the Platform. These Platform Terms, together with the Rate Card (clause 3), are the “Underlying Agreement” referred to in Griffin’s Terms. If these Platform Terms conflict with Griffin’s Terms about the Banking Services, Griffin’s Terms prevail.
1.7. Eligibility. The Platform is available only to UK-registered private limited companies that meet Griffin’s risk appetite and eligibility criteria, published at griffin.com/eligibility. Amno collects your information and runs identity and business checks using Griffin’s verification technology. Griffin alone decides, at its discretion, whether to open an account for you, and may refuse without giving reasons.
1.8. Deposit protection. Eligible deposits of up to £120,000 per depositor are covered by the Financial Services Compensation Scheme (FSCS), the UK’s deposit guarantee scheme. Visit Griffin’s website to learn more about deposit protection (griffin.com/deposit-protection). The £120,000 limit is per depositor across all accounts your company holds with Griffin, including accounts held through other providers that use Griffin. FSCS protection applies if Griffin fails; it does not cover Amno’s own services. Before you open an account we will give you Griffin’s FSCS information sheet and exclusions list and ask you to confirm you have received it. We will send it to you again at least once a year, and on paper free of charge if you ask.

2. What Amno does on the Platform

2.1. As Griffin’s technology partner, Amno:
  • (a)runs the onboarding journey, collecting the information and documents Griffin requires and submitting them through Griffin’s verification technology;
  • (b)provides first-line support for your account, including enquiries, statements, account closure requests and complaints;
  • (c)provides the software through which you create, check and confirm payroll runs and other payments, and transmits your confirmed instructions to Griffin; and
  • (d)runs transaction monitoring and fraud controls on activity through the Platform, working with Griffin.
2.2. Authorising payments. You authorise a payroll run or other payment by confirming it on the Platform with the one-time code we send to your authorised user’s registered mobile number. That confirmation is your instruction to Griffin to make the payments in the run and to pay Amno’s fee for the run under clause 3.3. A run confirmed with the code is treated as authorised by you. We will never ask for a code by phone, text or email. Amno does not decide whether a payment is executed: Griffin executes payments under Griffin’s Terms and may refuse, delay or return a payment where its terms or the law allow.
2.3. Checks before payments are sent. Each payee’s name is checked against their account with their bank (Confirmation of Payee) before a run is sent. If a name does not match, the payment will not be sent unless you confirm you still want to make it. Immediately before sending, we check that your balance covers the run and our fee; if it does not, nothing is sent and we tell you what is short.
2.4. Once a payment is sent. Payments are made in GBP only, by Faster Payments, and usually arrive within seconds, though some take up to two hours. A Faster Payment cannot be cancelled or changed once sent. If you send a payment by mistake, tell us immediately and we will ask Griffin to try to recover it; the receiving bank does not have to return it. Griffin’s Terms set out timings for any other payment type available to you. You are responsible for the accuracy of payee details and for confirming runs in time for payments to arrive by your pay date.
2.5. Unauthorised or incorrect payments. Tell us immediately at support@amnosolutions.com if you notice a payment you did not authorise, a mistaken payment or any suspected fraud, and in any event within 13 months of the payment date. Your refund rights are set out in Griffin’s Terms. They depend on your company’s size and do not apply if you acted fraudulently or, with intent or gross negligence, failed to keep your security details safe.
2.6. Suspension and restriction. Amno may suspend your access to the Platform or decline to transmit an instruction where we reasonably suspect fraud or financial crime, where you are in breach of these Platform Terms, or where Griffin or the law requires it. Griffin may separately freeze, restrict or close your account under Griffin’s Terms. Where the law prevents it, neither Amno nor Griffin will tell you the reason.
2.7. Complaints. Please raise any complaint with Amno first at complaints@amnosolutions.com. For complaints about the Banking Services we follow Griffin’s complaints procedure (griffin.com/complaints) and tell Griffin straight away. If a complaint about the Banking Services is not resolved through our procedure, you can escalate it to Griffin as set out in Griffin’s Terms. If your company is an eligible complainant (for example, a micro-enterprise or small business), you may refer an unresolved complaint about the Banking Services to the Financial Ombudsman Service within six months of the final response.
2.8. If Griffin stops providing your account. If Amno’s agreement with Griffin ends, or Griffin stops providing your account, we will tell you as early as we can and help you move your money. Griffin will transfer your funds to another UK bank account in your company’s name that you nominate. If you do not give account details when asked, Griffin may transfer your funds to a segregated trust account used only to hold customer funds, from which they will be returned to you. This does not affect your entitlement to the full amount of your funds.

3. Fees and what Griffin pays Amno

3.1. Our fees are set out in the Amno Solutions Rate Card (the “Rate Card”), which we give you before you open an account and which is always available in the Platform. The price of each payroll run is shown on the Platform before you confirm it, and a run keeps the price shown when it was created.
3.2. Griffin does not charge you for the Banking Services. Amno pays Griffin’s charges, and they are covered by our fees.
3.3. How we collect our fees. When you confirm a run, you also authorise payment of our fee for that run from your account to Amno. If a payment in a run is returned, the fee for that payment is reversed. Any monthly or other fees in the Rate Card are collected as the Rate Card states.
3.4. What Griffin pays Amno. Your account does not pay you interest (0%). Griffin pays Amno a commission calculated daily on the balance of your account and paid monthly, at a variable rate linked to the Bank of England base rate (currently the base rate minus 2.00% a year). The rate changes when the base rate changes. This commission is part of how Amno is paid for the Platform. Griffin pays Amno nothing else in connection with your account. We will tell you the current rate at any time if you ask.
3.5. Fee changes. We will give you at least two months’ notice by email before we increase a fee or introduce a new one. You may close your account free of charge before the change takes effect. Runs already created keep the price shown when they were created.

4. No advice; no representations

4.1. Amno does not provide legal, tax, accounting, regulatory or financial advice and makes no recommendation as to the suitability of the Banking Services for your business. An introduction to Griffin is not an endorsement that the Banking Services are suitable for you. You should take independent professional advice where required.
4.2. Amno makes no representations and gives no warranties on Griffin’s behalf about the Banking Services. Any description of the Banking Services on the Platform or in Amno materials is a summary provided for general information only. Griffin’s Terms, disclosures and pricing govern the Banking Services and prevail over any Amno material in relation to them.

5. Information you provide and consent to sharing

5.1. By submitting the onboarding form, you expressly consent to Amno introducing you to Griffin, to Amno passing to Griffin the information and documents you provide (including the personal data of your directors, persons with significant control, beneficial owners and authorised users), and to Amno and Griffin sharing information with each other about you, your account and its transactions, for the purposes of Griffin assessing your application, verifying identity, opening and operating your account, and preventing and detecting fraud and financial crime.
5.2. Information you provide during onboarding is collected by Amno and checked through Griffin’s verification technology. You agree to give Amno and Griffin promptly any further information, and access to records, that either reasonably asks for to open your account or to check that it is used in line with these Platform Terms and Griffin’s Terms.
5.3. You confirm that the information you provide is true, complete, accurate and not misleading; that you have authority to provide it for the Client; and that you have given the individuals whose personal data you supply, including your directors, persons with significant control, authorised users and the people you pay, the privacy information the law requires, including links to Amno’s privacy policy (amnosolutions.com/privacy) and Griffin’s privacy policy (griffin.com/privacy). You will tell Amno promptly of any change to your directors, persons with significant control, ownership, registered details or business activities.
5.4. Submission of information to Amno creates no obligation on Amno to make an introduction, nor on Griffin to open an account for you. Either may decline without giving reasons and without liability.

6. Data protection

6.1. Amno and Griffin are each an independent controller of personal data. Amno uses personal data to provide the Platform, run onboarding, provide support and monitor transactions, as described in the Amno Solutions privacy policy at amnosolutions.com/privacy. Griffin uses personal data to provide the Banking Services and run its verification checks, as described in its privacy policy at griffin.com/privacy.
6.2. Identity verification includes checks of identity documents and a facial image or live selfie, carried out through Griffin’s verification technology and the identity verification providers Griffin uses.
6.3. You agree that Griffin may share with Amno data about your account, including balances, transactions and payment status, so that Amno can operate the Platform, provide support, calculate fees and monitor transactions.

7. The Platform and security

7.1. Amno will use reasonable care and skill in providing the Platform but does not warrant that it will be uninterrupted or error-free.
7.2. Only people you authorise may use the Platform for you. You are responsible for their actions and for making sure they keep their passwords, registered mobile numbers and one-time codes to themselves. Tell us immediately at support@amnosolutions.com if you suspect anyone else has access. You can see and end open sessions in the Platform.

8. Liability

8.1. Nothing in these Platform Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be excluded.
8.2. Subject to clause 8.1, Amno shall have no liability for:
  • (a)any act, omission, decision, delay, default or insolvency of Griffin or any third party engaged by Griffin;
  • (b)the refusal, suspension, restriction or closure of your application or account by Griffin;
  • (c)the execution, non-execution or misdirection of any payment where Amno transmitted the instruction as you confirmed it;
  • (d)any fraud, including authorised push payment fraud, perpetrated against you, except to the extent caused by Amno’s breach of these Platform Terms;
  • (e)any suspension made in good faith under clause 2.6; or
  • (f)any indirect, special or consequential loss, or any loss of profit, revenue, goodwill or business opportunity.
8.3. Subject to clause 8.1, Amno’s total liability arising out of or in connection with these Platform Terms in any period of 12 months shall not exceed the greater of £10,000 and the total fees you paid Amno in the 12 months before the claim arose.

9. Indemnity

9.1. You shall indemnify Amno and Griffin against losses, liabilities, costs and expenses (including reasonable legal fees) arising from:
  • (a)information provided by you that is false, inaccurate or misleading;
  • (b)your fraudulent or unlawful conduct in connection with the Platform or the Banking Services; or
  • (c)any payment from your account that was fraudulent or unauthorised because you, or anyone you authorised, acted fraudulently or, with intent or gross negligence, failed to keep security details safe,
in each case to the extent the law allows.

10. Third-party rights

10.1. Griffin Bank Ltd may enforce clauses 5.1, 5.3 and 9 of these Platform Terms under the Contracts (Rights of Third Parties) Act 1999. No other non-party may enforce these Platform Terms.

11. General

11.1. Changes to these terms. We will give you at least two months’ notice by email of any change to these Platform Terms or the Rate Card. Where a change is required by law, a regulator or Griffin, we will give as much notice as we reasonably can. A change in your favour may take effect immediately. If you do not accept a change, you may close your account free of charge before it takes effect; if you do not, you are treated as accepting it. The version published on amnosolutions.com applies to new clients from publication.
11.2. Closing your account. You can close your account at any time by telling us; any balance is returned to a UK bank account in your company’s name. We may close your account by giving you at least two months’ notice, or sooner where Griffin’s Terms, these Platform Terms or the law allow.
11.3. If any provision is found invalid or unenforceable, the remainder is unaffected. No failure or delay in exercising a right is a waiver of it.
11.4. These Platform Terms and any dispute or claim (including non-contractual disputes) arising out of or in connection with them are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.

Your Amno accounts are provided by Griffin Bank Ltd (“Griffin”). Griffin is a company registered in England and Wales (No. 10842931). Griffin is authorised by the Prudential Regulation Authority and regulated by the Financial Conduct Authority and Prudential Regulation Authority. Griffin’s firm reference number is 970920.

Eligible deposits of up to £120,000 per depositor are covered by the Financial Services Compensation Scheme (FSCS), the UK’s deposit guarantee scheme.

Protection is per depositor rather than per account: if you hold more than one account with Griffin, the £120,000 limit applies to the total across all of them. Compensation is paid if Griffin fails — that is, if the FSCS determines the deposits Griffin holds are unavailable. More about the scheme is at www.fscs.org.uk.

The FSCS information sheet and exclusions list are available on Griffin’s deposit protection page at https://griffin.com/deposit-protection.

Amno Solutions is not a bank. We provide payroll software, and the account behind it is provided by Griffin, our partner bank.
